Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Agencify Labs, a digital services company operating from Karachi, Pakistan (“Agencify Labs,” “we,” “our,” or “us”).

These Terms govern your use of our website and any services we provide to you. Additional terms specific to your project may be set out in a separate project proposal or Statement of Work.

Agencify Labs provides the following digital services:

• Micro SaaS application design and development
• Digital marketing, paid advertising, and growth strategy
• Web design and development
• E-commerce solutions and integrations

The specific scope, deliverables, timeline, and pricing for each project are defined in a written proposal and/or Statement of Work (“SOW”) agreed upon by both parties before work commences. In the event of a conflict between these Terms and a signed SOW, the SOW shall take precedence.

All engagements begin with a discovery call followed by a written proposal. Work commences only after the proposal is accepted in writing and the initial deposit payment is received.

Any changes to the agreed project scope (“scope creep”) must be requested in writing and approved by Agencify Labs. Approved scope changes may affect the project timeline and total cost, which will be communicated before implementation.

Agencify Labs reserves the right to decline or discontinue any engagement that conflicts with our values, legal obligations, applicable law, or team capacity, provided reasonable notice is given.

Unless otherwise agreed in a signed SOW:

• A 50% deposit is required before work begins to reserve your project slot. This deposit is non-refundable unless Agencify Labs is in material breach of this agreement.
• The remaining 50% is due upon final delivery of the agreed deliverables, before live deployment or transfer of source files.
• For larger projects, milestone-based payment schedules may be defined in the SOW, with payments aligned to agreed deliverable milestones.
• Invoices are payable within 7 business days of issue.
• Payments not received by the due date may result in a pause in project work and may incur a late payment fee of 2% per month on the outstanding balance.

All prices are quoted in USD unless otherwise stated. Accepted payment methods and bank details will be provided at the time of invoicing.

Upon receipt of full and final payment for a project, the Client receives full ownership of all custom deliverables produced for that project, including source code, design files, and associated intellectual property specifically created for the Client. An IP transfer agreement is included as part of our standard project contract.

Agencify Labs retains the right to:

• Use general methodologies, know-how, frameworks, and reusable code components developed during the engagement that are not specific to the Client.
• Display completed work as a portfolio example on our website and marketing materials, unless the Client requests in writing that we do not.

Third-party assets incorporated into deliverables — including licensed fonts, stock photography, plugins, and open-source libraries — remain subject to their respective licences. The Client is responsible for ensuring continued compliance with those licences.

The Client agrees to:

• Provide all required content, brand assets, access credentials, and materials in a timely manner as requested by Agencify Labs.
• Designate a single primary point of contact with authority to make decisions on behalf of the Client.
• Review and provide feedback on deliverables within the timeframes specified in the SOW. Delays caused by the Client may affect project timelines without liability to Agencify Labs.
• Ensure that all content, materials, and instructions provided to Agencify Labs are lawful and do not infringe upon the intellectual property or other rights of any third party.
• Not use any deliverables for unlawful, harmful, or prohibited purposes.

Both parties agree to hold in strict confidence all proprietary information, business data, trade secrets, and project details disclosed during the engagement. Agencify Labs will sign a Non-Disclosure Agreement (NDA) before initial discovery calls upon request.

This obligation of confidentiality survives the termination or expiry of this agreement and any project SOW.

Agencify Labs warrants that:

• All services will be performed with reasonable skill, care, and diligence by appropriately qualified personnel.
• Deliverables will substantially conform to the specifications defined in the agreed proposal or SOW.
• Complimentary bug-fix support is provided for 30 days following final delivery, covering defects in work that was delivered as specified.

We do not warrant that deliverables will be uninterrupted or error-free beyond the scope of the above, nor are we responsible for issues arising from third-party platform outages, hosting failures, changes to third-party APIs, or Client-side modifications made after delivery.

To the maximum extent permitted by applicable law, Agencify Labs' total aggregate liability arising out of or in connection with any engagement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

Agencify Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, even if Agencify Labs has been advised of the possibility of such damages.

Either party may terminate an engagement by providing 14 days' written notice to the other party. In the event of termination:

• The Client is responsible for payment of all work completed and expenses incurred up to the effective date of termination.
• The initial deposit is non-refundable, except in the case of material breach by Agencify Labs.
• Ownership of completed deliverables transfers to the Client only upon receipt of full payment for all work completed.

Either party may terminate immediately if the other party is in material breach of these Terms and fails to remedy that breach within 7 days of written notice.

This website is provided for informational and lead-generation purposes. You agree not to use this website in any way that is:

• Unlawful, fraudulent, or deceptive
• Harmful to the website's operation or security
• Involves automated scraping, data harvesting, or any form of unsolicited access

We reserve the right to restrict access to our website at any time and without notice.

These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan.

Any disputes arising out of or in connection with these Terms or any project engagement shall first be attempted to be resolved through good-faith negotiation. If a dispute cannot be resolved within 30 days of written notice, it shall be subject to the exclusive jurisdiction of the courts of Karachi, Pakistan.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

We reserve the right to update or modify these Terms at any time. Changes take effect upon posting to this page, with the “Last Updated” date revised accordingly. For active project engagements, changes to these Terms do not affect work governed by a signed SOW unless both parties agree in writing.

Your continued use of our website after changes are posted constitutes your acceptance of the revised Terms.
